Torrent (TORNTPHARM) Q2 FY27 Pharma Profit Falls 10% Even as Revenue Jumps 51% on JB Merger

The acquisition of JB Chemicals dramatically lifted Torrent Pharma's top line, but integration costs and higher debt charges squeezed the bottom line.

Torrent Pharmaceuticals reported a 51% surge in Q2 FY27 revenue to ₹4,979 crore, driven by its JB Chemicals acquisition. However, net profit fell 10% to ₹534 crore due to sharply higher finance and depreciation costs.

Torrent Pharmaceuticals’ September quarter was a story of two different financial statements. The headline showed a transformed company, with revenue surging 51% year-on-year to ₹4,979 crore on the back of its landmark acquisition of JB Chemicals. But the bottom line told a more complex story of integration costs and a debt-fuelled deal, with net profit falling 10% to ₹534 crore.

The numbers reveal the tension. While revenue grew sequentially by 1.2%, profit declined 5.7% from the June quarter. The net profit margin compressed sharply to 10.7%, down 720 basis points from the year-ago period. The trend over recent quarters shows the impact of the merger, which was consolidated from Q4 FY26.

The Merger’s Double-Edged Sword

The massive revenue jump was almost entirely due to adding JB Chemicals’ business. According to the company’s earnings call, the underlying Torrent base business grew a healthy 18%. The India base business itself grew 20%, outpacing the broader market.

However, integrating the two companies created what management called a “transient impact.” As reported by Businessworld, field force mergers and system alignments temporarily slowed JB’s India growth to 7%. International operations were also disrupted by plant optimizations.

Why Profitability Took a Hit

The 720-basis-point margin squeeze had two clear drivers. First, finance costs ballooned to ₹300 crore from ₹48 crore a year ago, as reported by Business Standard. Second, depreciation and amortisation expenses nearly tripled to ₹609 crore.

These are direct consequences of the debt-funded acquisition. The combined increase in these two line items, as noted by Informist Media, outpaced the growth in operating EBITDA, pulling profit down.

The Path to Recovery

Management, on the earnings call transcribed by Investing.com, expects the integration disruption to ease. They guided for JB’s EBITDA margins to improve gradually over the next two to three quarters. The company also said its ₹450 crore cost synergy target is ahead of plan, with half already visible in Q2 margins.

The outlook for the core business remains strong. The company holds a 32% market share in India’s generic semaglutide market, a major growth driver. Brazil grew 38% and the US grew 24%, though Germany remained weak.

Key Points

  • Consolidated revenue surged 50.8% year-on-year to ₹4,979 crore, primarily due to the JB Chemicals merger.
  • Net profit declined 9.6% to ₹534 crore as finance costs and depreciation expenses rose sharply.
  • The net profit margin contracted by 720 basis points to 10.7%.
  • Management expects integration-related pressures to ease, with cost synergies tracking ahead of the original plan.
  • The core Torrent business grew 18%, led by a 20% jump in India sales that outpaced the market.

Hexa Perspective

This quarter frames the investment case for Torrent Pharma: scale purchased with debt, now in the hands of execution. The 1.8x net debt-to-EBITDA ratio, cited in the earnings call, is manageable, but the margin squeeze shows the cost of that capital.

The next few quarters will test whether the promised synergies can flow through faster than the interest charges. If the underlying 18% base business growth holds and JB’s recovery is swift, the current profit compression could be a temporary passage. If integration snags persist, the high valuation premium the stock carries will face a sterner reality check.
